Terms and conditions
These general conditions of sale (the "General Conditions") govern the methods and conditions of sale of the products marketed by Gabaglio Textile srl (the "Products"). All contracts for the sale of Products by Gabaglio Textile srl to third parties (the "Customers") are governed by these General Conditions, which form an integral and substantial part of each proposal, order and order confirmation for the purchase of Products themselves. The sales conditions applicable to your order are those in force on the date of the order.
1. Products: prices and features
1.1 Unless otherwise indicated, the prices of the Products published by Gabaglio Textile srl must be understood as including VAT. The prices of the Products from time to time published by Gabaglio Textile srl cancel and replace the previous ones and are subject to the actual availability of the Products. Gabaglio Textile srl reserves the right to confirm or modify the prices of the Products published on its website at the time of confirmation of the Customer's order.
2. Orders - invoicing
2.1 All purchase orders for Products sent to Gabaglio Textile srl must be complete in all their parts and must contain all the elements necessary for the correct identification of the Products ordered. Each order of Products transmitted to Gabaglio Textile srl constitutes a contractual proposal of the Customer and, therefore, will be binding for Gabaglio Textile srl only if confirmed by it for acceptance. The execution of the order by Gabaglio Textile srl is equivalent to confirmation and acceptance of the same.
2.2 Gabaglio Textile srl reserves the right not to accept incomplete orders, not properly completed. In the event of failure to execute the order by Gabaglio Textile srl (if the same is due to unavailability of the Products ordered by the Customer Gabaglio Textile srl will inform the Customer as soon as possible, reimbursing the sums that they may have already paid against the supply not performed In this case, the Customer will not be entitled to any refund or compensation or compensation of any kind.
2.3 The tax documentation relating to the Products ordered will be issued by Gabaglio Textile srl upon shipment of the Products to the Customer. If the Customer is a VAT number holder and wishes to receive an invoice in his own name, he must indicate the VAT number with all his data at the time of registration. Failing this, Gabaglio Textile srl will not issue a tax invoice.
3. Delivery of the Products
3.1 All delivery costs of the Products are charged to the Customer. Deliveries are normally made via couriers.
3.2 The terms of delivery indicated by Gabaglio Textile srl refer to the Products present in their own warehouses and although they are carefully evaluated, they must be considered non-binding for Gabaglio Textile srl, which can subsequently confirm or modify them, according to their actual needs. Delays in deliveries less than 30 (thirty) days do not entitle the Customer to refuse delivery of the Products, nor to demand compensation or compensation of any kind.
3.3 Special delivery terms and conditions must be agreed in advance between the Customer and Gabaglio Textile srl and accepted in writing by Gabaglio Textile srl.
4. Product warranties - Technical assistance
4.1 Gabaglio Textile srl guarantees the only material integrity of the Products at the time of delivery. Any defects covered by the Gabaglio Textile srl Warranty must be reported by the Customer, under penalty of forfeiture, no later than 10 (ten) days from the delivery date. In the event that the Gabaglio Textile srl guarantee is operative, the Customer will have the right to the replacement of the damaged Products upon return of the same, since the Customer's right to compensation for any further damage is excluded. The shipping costs necessary for the replacement of Products shall be borne by Gabaglio Textile srl.
4.2Without prejudice to the provisions of the previous article, Gabaglio Textile srl does not provide any additional guarantee on the Products with respect to that provided by the individual Manufacturers. In particular, Gabaglio Textile srl does not give any guarantee regarding the compatibility of the Products with other products or equipment used by the Customer, nor does it provide any guarantee regarding the suitability of the Products for the specific use intended by the Customer.
5. Right of withdrawal
5.1 According to the art. 5 of Legislative Decree 22 May 1999 n. 185, the Customer (if it can be qualified as "consumer" pursuant to article 1 letter b) of Legislative Decree 22 May 1999 185) has the right to withdraw from the contract and to return the ordered Products, without any penalty and without specifying the reason, within 10 (ten) working days from receipt of the Products.
Returns are always paid by the customer.
5.2 The right of withdrawal referred to in the previous article must be exercised by the Customer, under penalty of forfeiture, by sending a registered letter to Gabaglio Textile, Via Borgonovo, 12, 22071 Cadorago (Como), within 10 (ten) days working hours from receipt of the Products.
5.3 All returns (which must be perfectly intact) must be authorized by the Gabaglio Textile Customer Service.
5.4 Once the Products have been received (and checked for integrity) Gabaglio Textile will, as soon as possible, credit the Customer with the cost of the returned Products (as indicated on the invoice), withholding the amount of the shipping costs that will remain permanently at customer's charge.
Without prejudice to the possible applicability of mandatory provisions of law for the protection of consumers (as defined pursuant to Article 1 letter b) of Legislative Decree 22 May 1999 n. 185), any dispute connected with these General Conditions will be referred to the exclusive jurisdiction of the Court of Milan.
